LLP registration
We prepare and file your limited liability partnership's incorporation application with the Ministry of Corporate Affairs (MCA), draft the LLP agreement for your partners, and file it once the LLP is registered. The Registrar issues the registration itself.
- An expert call to check whether an LLP suits your plans
- A written scope and itemised quotation before any work starts
- The LLP agreement drafted and filed, not only the incorporation

Fees
Request a quotation
Fees depend on the number of partners, how many digital signatures are needed, the capital contribution and your state's stamp duty on the LLP agreement, so we quote after a short call.
Your quotation lists each of these separately:
- Professional fees for our work
- Government fees and stamp duty, at actual cost
- Digital signature certificates, if needed
- GST on professional fees
Who can register
- At least two partners. Partners can be individuals or companies.
- At least two designated partners who are individuals, with at least one resident in India — someone who has stayed in India for at least 120 days during the financial year, under the LLP Act as amended in 2021.
- A registered office address in India, with recent proof of address and the owner's no-objection certificate.
- No minimum capital contribution is set by law. Partners agree their contributions in the LLP agreement.
- Foreign nationals and NRIs can be partners, subject to foreign investment rules for the business activity. We confirm what applies on your call.
Not sure this is the right structure? Compare a private limited company, LLP and one person company.

How it works
Request a call back
Send the short form or call us. An expert calls you to understand your situation and answer your questions.
Receive a written quotation
It sets out the scope, what is included and excluded, and lists professional fees, government charges and taxes separately.
Confirm and share documents
Once you accept the quotation and the agreed payment is made, we send a document checklist for each partner and the office address.
Preparation and review
Your preparer drafts the incorporation form and the LLP agreement, and a second team member reviews both. You approve the details before anything is signed.
Signing and filing
Designated partners sign with their digital signatures and we file with MCA. We share the filing reference with you.
Registration and the LLP agreement
On approval, the Registrar issues the certificate of incorporation with your LLP Identification Number (LLPIN). Partners then sign the LLP agreement and we file it within the 30 days the rules allow.
How long it takes
We don't promise a fixed number of days, because parts of the process are outside our control. Your quotation includes an estimate, and we tell you when the next step depends on you or on the Registrar.
The main things that affect timing:
- How quickly partners share documents and complete digital signature verification
- Whether the Registrar accepts the proposed name on first review
- MCA processing times and any resubmission requests
- Partners agreeing the terms of the LLP agreement
Common questions
Should I choose an LLP or a private limited company?
It depends on your plans. LLPs generally have fewer formalities and need an audit only above set limits, while a company can issue shares, which matters if you plan to raise equity investment. We explain the trade-offs on the call and recommend what fits, not what costs more.
Does an LLP need its accounts audited?
Only when its turnover exceeds ₹40 lakh, or partners' contribution exceeds ₹25 lakh, in a financial year, under the LLP Rules, 2009.
What does an LLP have to file every year?
Two returns with the Registrar: the annual return (Form 11), due by 30 May, and the statement of account and solvency (Form 8), due by 30 October. It also files an income tax return. Late Registrar filings attract an additional fee of ₹100 a day for each form.
Can we change the LLP agreement later?
Yes. Partners can amend the agreement as the business changes, for example when a partner joins or profit shares change. Each change is filed with the Registrar.
Do we need to visit an office?
Usually not. Documents are shared online and designated partners sign with digital signatures. Some digital signature providers ask for a short video verification.
